Website Development Terms and Conditions


1. Acceptance
A copy of these terms and conditions are submitted with project quotations and must be agreed prior to work commencing. Alternatively, payment on an advance fee is an acceptance of our Terms and Conditions. These conditions are always available on our website for review.

2. Charges
Charges for services to be provided by the PDA and Design-SG Limited are defined in the quotation that the Client receives via e-mail or paper mail. Quotations are valid for 30 days unless alternate timescales have been agreed beforehand with the Client. The PDA reserves the right to alter or decline to provide a quotation after expiry of the valid timescale.
The full payment must be received for the Standard Package and a 50% deposit placed on the PRO 3 Package before the work will be carried out.  The remaining balance of PRO 3 quotation total will be due upon completion of the work prior to upload to the server or release of materials.

Payment for services is due by cheque, BACS or Card Payment over the telephone. Cheques should be made payable to The Painting and Decorating Association, and sent to 32 Coton Road, Nuneaton, CV11 5TW. To make a card payment or to find out the BACS details please call Head Office on 02476 353776.

3. Client Review
The PDA and Design-SG Limited will provide the Client with the opportunity to review the content of the website once it has been completed. At the completion of the project, such materials will be deemed to be accepted and approved unless the Client notifies The PDA within 10 days of the date the material are made available to the Client.
The appearance of your website is based upon a template. Changes to this basic layout will incur costs. A quotation will be provided for these edits.

4. Project Schedule and Content Control
The PDA and Design-SG Limited will supply the Client with a date in their project proposal. If no date is specified then the timescale shall be within four weeks of the date initial payment is received from the Client, unless a delay is specifically requested by the Client and agreed by the PDA. An alternate timescale can be agreed during the initial project discussion.
In return, the Client agrees to delegate a single individual as ‘first point of call’ to the PDA and Design-SG Limited with completing the project in a satisfactory and expedient manner.

During the project the PDA and Design-SG Limited will require the Client to provide copy and images. If content is not provided within 4 weeks of an official request then the PDA and Design-SG Limited reserves the rights to revise pricing schedules that may be introduced from time to time. If content is not provided within 8 weeks from the request then the Client is consider default of the project, the project will be terminated and the Client sent the final invoice for immediate payment. The PDA and Design-SG Limited will agree, at its discretion, to recommence the project after agreement is reached.

The PDA also reserves the right to remove the standard package website from if annual subscription is not met by members. The PDA also reserves the rights to remove the PDA logo from any website produced if members fail to make their annual payment or do not abide the Code of Practice.

5. Payment
Invoices will be provided by the PDA upon completion of the work. Invoices are due within 30 days of receipt after which a reminder will be sent to the Client. If the invoice has not been settle after 60 days then the PDA will consider the account to be in default.

6. Default
If the Client in default has any information or files on the PDA’s or Design-SG Limited space, the PDA can, at its discretion, remove all such materials from its web space. The PDA is not responsible for any loss of data incurred due to the removal of the service. Removal of this service does not relieve the Client of the obligation to pay for any outstanding charges assessed to the Clients account. Cheques returned due to insufficient funds will be assessed a return charge of £25 and the Client’s account will immediately be considered to be in default until full payment is received. Clients with accounts in default agree to pay the PDA reasonable expenses, including legal fees and costs for collection by third party agencies, incurred by the PDA in enforcing these Terms and Conditions.

7. Termination
Termination of the Web Development project by the Client must be requested in writing and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will both be honoured until or unless confirmed in writing. The Client will be invoiced for design work complete to the date of the first notice of cancellation for payment in full within 30 days.

8. Copyright
The Client retains the copyright to data, files and graphic logos, and grants the PDA and Design-SG Limited, the rights to publish and use such material. The client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting the PDA and Design-SG Limited permission and rights for use of the same and agrees to indemnify and hold harmless the PDA and Design-SG Limited from any and all claims resulting from the Clients negligence or inability to obtain proper copyright permissions. A contract for web site design and/or placement shall be regarded as a guarantee by the Client to the PDA and Design-SG Limited that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.


9. Media Delivery Requirements
Unless otherwise specified in the project quotation, this Agreement assumes that any text will be provided by the Client in electronic format (text to be delivered via e-mail, CD-Rom, DVD, or FTP) and that all photographs and other graphics will be provided physically in high quality print suitable for scanning or electronically in .gif, .jpeg, .png, .tiff format. The specific requirements will be discussed and agreed with the Client prior to commencement of the project. Although every reasonable attempt shall be made by the PDA and Design-SG Limited to return to the Client any images or printed material provided for use in creation of the Client’s web site, such return cannot be guaranteed.

10. Post Project Alternations
The PDA and Design-SG Limited cannot accept responsibility for any alterations caused by the Client or a third party occurring to the Client’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions. The PDA and Design-SG Limited may require a one-off web development charge before resolving any issues that may arise.
If the Client changes their business address in the first year of hosting the PDA and Design-SG Limited will make these amendments for free. The company will also have the opportunity to update their website every 6 months during the first year, after which a charge of £.... will be incurred. The PDA and Design-SG Limited reserve the rights to change this amount.
The free updates are with regards to the content and not design. Any alterations made to the design will incur a charge which will be provided through a quotation.

11. Domain Names
The PDA and Design-SG Limited will purchase domain names on behalf of the Client, unless the Client states otherwise. If the domain is purchased by the PDA and Design-SG Limited they will be renewed on an annual basis and the Client will be invoiced by the PDA. For .com, .org, and .net domains, reminder e-mails will be sent to our client before the domain name expires at 60, 30 and 5 days before expiration with a final e-mail being sent 10 days after the expiration date. Domains ending in are automatically renewed 10 days before expiration. In this case, the Client must notify the PDA that they do not wish to renew their domain 30 days before the expiration date. The loss, cancellation or otherwise of the domain brought about by none or late payment is not the responsibility of the PDA or Design-SG Limited. The Client should keep a record of the due dates for payment to ensure that payment is received in good time.

12. General
These Terms and Conditions supersede all previous representations, understandings or agreements. The Clients signature below or payment of an advanced fee constitutes agreement to and acceptance of the Terms and Conditions.
Prices are correct at the time of published and may be changed at any given time.

13. Governing Law
This Agreement shall be governed by English Law.
